Newbreak Terms of Service and End-User License Agreement
Effective October 7, 2026 · Last Updated: October 23, 2026
1. Who We Are and This Agreement
Newbreak is operated by Newbreak Ag LLC ("Newbreak," "we," or "us"). These Terms govern access to and use of the Newbreak application and related services. By expressly accepting these Terms, you agree to them on your own behalf and, if you use Newbreak for an organization, confirm that you are authorized to accept them for that organization. If you do not agree, do not use the service.
Newbreak provides business reporting, cash-flow planning, and data analysis. It does not offer or arrange financing, initiate payments, or provide legal, tax, investment, or accounting advice. Reports and forecasts are tools for review, not guarantees of financial results, tax eligibility, or the accuracy of source records.
2. Access and Account Security
Subject to these Terms and any agreed service limits, we grant you a limited, non-exclusive, non-transferable right to use Newbreak for your organization's internal business purposes. Newbreak and its licensors retain ownership of the service and software. This agreement does not transfer ownership of your business records to us.
Provide accurate account information, use only your assigned access, protect your credentials, and complete required authentication and security checks. Organization administrators are responsible for granting appropriate access and removing access when it is no longer needed. Report suspected unauthorized access promptly to nick@gridnpixel.com. Do not send passwords, authentication codes, or complete financial files by email.
3. Your Records and Connected Services
You must have authority to upload records and connect each business data source. You authorize Newbreak and the service providers described in our Privacy Notice to process the records you supply or authorize us to obtain, only as needed to provide, maintain, support, and protect the service, follow your authorized instructions, and meet applicable legal obligations.
Bank connections are provided through Plaid. If enabled for your organization, QuickBooks Online connections are provided through Intuit. You complete each provider's authorization flow and choose the available permissions and source connections there. Separate notices in Newbreak explain the enabled connection's purpose and scope.
Newbreak's current bank and QuickBooks connectors import information for reporting and analysis. They do not initiate bank payments or create or modify invoices, payments, or other accounting entries in QuickBooks. Intuit's accounting authorization can describe broader permissions than the read operations Newbreak performs. Connecting a source does not authorize Newbreak to move money or change your books.
Third-party services are governed by their own terms, privacy notices, availability, and permissions. Newbreak is a separate service from Intuit, QuickBooks, Plaid, and your bank. Provider availability and data coverage can change. Keep your subscriptions and permissions current where a connected service requires them.
4. Review of Results
You are responsible for reviewing imported records, classifications, assumptions, and reports before relying on them. Imports can be incomplete, delayed, duplicated, or affected by source errors. Reconcile important results against your bank and accounting records and consult qualified advisers when needed. Keep your authoritative records and required backups independently of Newbreak.
Pilot, beta, and testing features may change or be discontinued and may be limited by company, source, duration, or functionality. We will describe applicable pilot limits separately. Access to a pilot does not promise continued access, additional integrations, or a particular result.
5. Privacy, Disconnecting, and Deletion
Our Privacy Notice explains the information we process, our service providers, security practices, retention, and how to make a privacy request.
An authorized user may disconnect a supported integration through its connection controls to revoke access and stop future imports. Disconnecting does not automatically erase records already imported, reviewed reports, or audit history. Deletion and retention requests are handled under the Privacy Notice, including any applicable legal or security retention needs and backup expiry processes. Contact mathew@missionregen.com with the company name and request; we will verify your authority before acting.
6. Acceptable Use
Do not use Newbreak unlawfully, submit records you are not authorized to share, misrepresent your authority, access another organization's data without permission, share accounts, bypass access controls, introduce malicious software, or disrupt the service. Do not copy, resell, or exploit the service beyond the permission in these Terms, or reverse engineer it except where applicable law permits that activity.
7. Fees
Any Newbreak fees, billing dates, renewal terms, and cancellation terms must be stated in a separate order or offer you accept. These Terms alone do not create a paid subscription or authorize a charge. Fees charged independently by your bank, accounting provider, or another service remain subject to your agreement with that provider.
8. Availability and Responsibility
To the extent permitted by applicable law, Newbreak is provided "as is" and "as available," without warranties of uninterrupted or error-free operation, fitness for a particular purpose, or guaranteed accuracy. We do not guarantee that a forecast will match actual results or that a third-party integration will remain available.
To the extent permitted by applicable law, neither party is liable to the other for indirect or consequential losses arising from use of the service. Nothing in these Terms excludes liability for fraud or willful misconduct, or limits any right, remedy, or liability that applicable law does not allow the parties to exclude or limit.
9. Suspension and Ending Access
You may stop using Newbreak and request closure of your workspace. We may restrict or suspend access reasonably necessary to address unauthorized activity, a security risk, unlawful use, or a material breach of these Terms. Where practicable and appropriate, we will explain the reason and an opportunity to correct the issue. On termination, your license to use Newbreak ends; information already held is handled under the Privacy Notice and any applicable separate agreement.
10. Changes and Contact
We may update these Terms as the service changes. We will identify the revised version and provide notice of material changes. We will request renewed acceptance before applying material changes to an existing customer's agreement. Changes do not retroactively authorize a new use of previously collected data.
For questions about Newbreak or these Terms, contact mathew@missionregen.com. For technical support or a security concern, contact nick@gridnpixel.com. A separate signed agreement controls if it expressly overrides a provision of these Terms. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.
